Ordinary Course
The ordinary course of business refers to the system of activities, procedures and actions which constitute normal business operations. It is the ordinary, or expected course of business activities which holds precedence over everything else. This means that if any deviation from the ordinary course of business is proposed, additional consideration, analysis and approval are usually required. For example, in the governance of public companies, the ordinary course of business may be defined as the normal course of operating activities, such as the purchasing of inventory, honoring contracts, and the employment of staff. Any activity that is not part of the ordinary course of business must be evaluated for its merits and risks before it can be approved and implemented. This process helps protect the interests of the company and its stakeholders, as any activity outside of the ordinary course of business may affect the financial stability or future success of the organization. Beyond the realm of public companies, the ordinary course of business may similarly refer to any sequence of typical activities for a given business entity. The term is also commonly used in transactions, such as contracts and corporate agreements, where the concept of ordinary course can help to define the scope of normal activities and therefore prevent legal liabilities or disputes.
